The DAO

The Heirloomdao will be managed by the heirloom community through the use of proposals and voting. The voting of different proposals will be done through the use of the Heirloomdao native token (HELI)

The heirloomDAO organization will be managed by the heirloom community through the use of proposals and voting. The voting of different proposals will be done through the use of the heirloomdao native token (HILO), with 1 token representing 1 voting power. Discord will be the main channel of communication and discussion of the dao. With announcements primarily posted on that platform.

Users inside the HeirloomDAO community will be able to; submit and vote for or against proposals, submit and vote for or against delegates.

The heirloomDAO ecosystem consists of Delegates and 3 different types of proposals.

Delegates

Delegates are a number of users selected by the community to represent them. They are tasked with the responsibility of being the voice of the community and will have direct communication with the development team, anticipating changes in the platform and expressing doubts or concerns. They play a vital role in keeping the Heirloom community informed and up to date on the latest development news.

They will meet bi-monthly with the CEO and lead developers of the project. Delegates are voted every quarter and can only run 2 times consecutively between voting periods. Any user can postulate himself or others to become a delegate and represent the community. The only requirement to present to elections is submitting a Proposal to become a delegate. Delegates carry the vital task of supervising and controlling the Minting Proposals.

It is their job to verify the correct information of the proposal. Delegates must vouch for proposals that can independently verify the information provided by users. A guide to identifying reputable sources and best practices will be provided.

Proposals

Becoming a delegate

The proposal to become a delegate consists of completing a Google form that will be created in due time and announced on social media once new elections approach. The Google form answers will be automatically sent to discord for further discussion and voted once the voting period starts. The following structure will be used: Name of the proposed delegate (50 words max) Experience of the proposed delegate (200 words max) Intentions or proposal of the delegate (1000 words max) Curriculum Vitae (optional)

Voting a delegate

Registrations to become a delegate will close at least 72 hours before the voting starts. Users will be able to cast their votes by utilizing the erc20 token in favor of any candidate. Candidates with a simple majority will win the seat.

In the unlikely case of a draw, the candidates with the same amount of votes will be isolated in a separate election. At least 2% of all tokens in circulation must have participated in the voting session for a quorum to be reached. In the case, no quorum has been reached, a new voting period will commence 1 week after the failed session. Until then, delegates will extend their delegate rights for another week without any kind of stipend or benefits.

Stipend and seats

Recognizing the importance and value of delegates, each quarter a stipend will be paid to them for their work in the dao. Stipends will be paid in the native token of the HeirloomDAO and will be spent from the treasury.

The amount is set to be reviewed and voted by the community and can be changed at any time with an improvement proposal.

The number of delegates selected will depend on the number of users registered in the discord community and will work as the following: 0 to 20k users: 3 delegates + 2 alternates 20k to 50k users: 5 delegates + 2 alternates 50k to 75k users: 7 delegates + 3 alternates 75k users onwards: min 9 delegates plus 1 delegate for each 25k new users + 3 alternates and 1 alternate for every 30k new users In addition to the selected delegates, alternates will be chosen from the second most voted delegates in the election.

Should any delegate is no longer able to continue with their duties in the dao, an alternate will replace it for the rest of the period.

General Improvement Proposal

A general improvement proposal, also known as Heirloom Improvement Proposal or (HIP) is a general proposal that can be submitted by any user wishing to modify, add, or eliminate any part of the DAO platform. This includes modifying the set of rules that manage the DAO voting rules and proposals. Similar to Delegate proposals, users wishing to submit a proposal must complete a Google form that will be automatically sent to discord for further discussion and voted once the voting period starts. Users wishing to create a HIP proposal must have the following structure:

Summary A simple description of the proposal’s end result and desired changes. Should be no more than a few sentences.

Motivation Explain why this proposal is necessary or useful for the community in general. How is it adding value and what problem or opportunity does this proposal target?

Scope of Work Layout your proposal in detail explaining how it is going to tackle the issue at hand and present the action items, probable timelines, development costs and final goals.

Success metrics and KPIs How will the community measure the project’s success? Details of Proposers Give a brief about who you/your team are and mention your discord handles.

HIP proposals require at least 5% of all tokens in circulation to participate in the voting session for a quorum to be reached. In the case, no quorum has been reached, the HIP proposal will be discarded, but may reapply in the future after at least 3 months have passed.

New minting proposal

New minting proposals are a type of proposal where users of a community want a specific software license sale to be included inside the HeirloomDAO platform.

Proposals to include the sale can come directly from the development team of the software or be scouted by any user. Proposals must be ready to be implemented if they get approved, users should not expect Heirloom developers to “discuss with the development team” of the selected winner to reach a deal.

Users wishing to submit a proposal must complete a Google form that will be manually sent to a private channel on discord for delegates to review or further discuss the proposal. The proposal structure must include the following structure: Name of the company, Website, Relationship of the user proposing and the company or its founders, Description of the company or software Amount of licenses to be minted, target price, Letter of intent to mint nft licenses signed by the CEO or a shareholder with a minimum of 15% stake of the company, and Roadmap.

All new minting proposals must be manually reviewed and vouched by at least 1 delegate. Proposals that are not vouched by a delegate 72 hours after they have been submitted will be discarded. Once the proposal has been approved by at least 1 delegate, it will move to general elections, where the whole community can approve or disapprove it.

In case the proposal gets accepted and licenses are sold on the market, the user in charge of submitting a proposal will receive an economic reward in the form of a “finder fee”. The reward will amount to 0.5% of all the licenses sold by the company in the Heirloom marketplace. The reward will be paid in cryptocurrency and submitted to the user's wallet after a manual review process.

New minting proposals require at least 5% of all tokens in circulation to participate in the voting session for a quorum to be reached. In the case, that no quorum has been reached, the proposal will be discarded, but may reapply in the future after at least 3 months have passed.
